Terms of Sale

1. Contract Formation
A binding contract is formed upon written order confirmation by Elements of Fragrance or acceptance of an order via email or other written communication.

2. Payment Terms
Payment terms will be as specified on the invoice or otherwise agreed in writing prior to dispatch. Unless otherwise agreed, all invoices must be paid in full in accordance with the stated terms.

3. Delivery
Delivery is deemed complete upon receipt of the main goods by the Buyer. Any additional or promotional items supplied, including but not limited to testers, do not affect the completion of delivery or alter agreed payment terms.

4. Acceptance of Goods
The Buyer is responsible for inspecting goods upon delivery. Goods shall be deemed accepted unless the Buyer notifies Elements of Fragrance in writing of any issues within 7 days of delivery.

5. Product Compliance
All products supplied comply with applicable UK regulations, including cosmetic safety requirements where relevant. Documentation such as CPSRs, and labelling compliance are maintained and available where required.

6. Late Payments
We reserve the right to charge interest on overdue invoices at a rate of 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. 

7. Recovery Costs
The Buyer shall be responsible for all reasonable costs incurred in recovering overdue payments, including but not limited to debt collection fees, legal costs, and administrative expenses.

8. Suspension of Supply
We reserve the right to suspend or cancel further supply of goods or services where payment terms are not met or where the Buyer is in breach of these terms.

9. Retention of Title
All goods remain the property of Elements of Fragrance Ltd until paid for in full. Title to the goods shall not pass to the buyer until full payment has been received. If goods are resold before payment, the customer shall hold the proceeds on trust for Elements of Fragrance Ltd. In the event of non-payment, we reserve the right to enter the customer’s premises to recover unpaid goods.

10. Invoice Queries
Any queries relating to an invoice must be raised in writing within 7 days of the invoice date. Failure to do so will be deemed acceptance of the invoice.

11. Limitation of Liability
To the fullest extent permitted by law, Elements of Fragrance shall not be liable for any indirect or consequential losses arising from the supply of goods.

12. Governing Law
These Terms of Sale shall be governed by and construed in accordance with the laws of England and Wales.
